Introduction

Welcome to **PropExpo**. These Terms and Conditions ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Services. PropExpo, acting as a real estate broker, provides a platform to facilitate interactions between property owners, agents, buyers, tenants, and other real estate professionals.

User Accounts

To access certain features of our Services, you may be required to register for an account. When creating an account, you agree to:

1. Provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2. Maintain the confidentiality of your account password and to be solely responsible for all activities that occur under your account.
3. Notify PropExpo immediately of any unauthorized use of your account or any other breach of security.

PropExpo reserves the right to suspend or terminate your account and refuse any and all current or future use of the Services if any information provided proves to be inaccurate, not current, or incomplete.

Property Listings and Content

Users submitting property listings or other content ("User Content") to PropExpo agree to the following:

• Accuracy of Information: All property information, including descriptions, photos, prices, and availability, must be accurate, truthful, and up-to-date. Misleading or false information is strictly prohibited.
• Ownership/Authorization: You warrant that you are the legal owner of the property listed or have the express authorization from the owner to list and market the property.
• Permitted Content: User Content must not infringe on any third-party rights, including copyright, trademark, privacy, or publicity rights. It must not contain offensive, defamatory, illegal, or inappropriate material.
• Licence to PropExpo: By submitting User Content, you grant PropExpo a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Services and PropExpo’s (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

Prohibited Uses

You agree not to use the Services for any unlawful purpose or in any way that could harm PropExpo or any third party. Prohibited activities include, but are not limited to:

• Posting false, misleading, or fraudulent property listings or information.
• Attempting to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to the Services.
• Engaging in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
• Using any automated system, including "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to PropExpo servers than a human can reasonably produce in the same period by using a conventional web browser.
• Collecting or harvesting any personally identifiable information, including account names, from the Services.
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

Intellectual Property Rights

All content on the PropExpo website and Services, including text, graphics, logos, images, software, and the compilation thereof, is the property of PropExpo or its content suppliers and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or in any way exploit any of the content, in whole or in part, except as expressly authorized by PropExpo.

Disclaimers and Limitation of Liability

Disclaimer of Warranties: The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. PropExpo does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content, including property listings, available through the Services.

Limitation of Liability: In no event shall PropExpo, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification

You agree to defend, indemnify, and hold harmless PropExpo and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, and the rules framed thereunder. The place of arbitration shall be Gurgaon, Haryana, India, and the language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding on both parties.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
